This Endorsed Educator Agreement (the “Agreement”) is entered into between My Sugar Shop, operating as The Sugar Shop / SugarSMAC Education (the “Company”), and the individual or business identified below (the “Educator”).

The purpose of this Agreement is to establish the terms under which the Educator may participate in the SugarSMAC® Endorsed Educator Program at the GROW level and, following successful validation and approval, represent themselves as a SugarSMAC® Endorsed Educator, provide approved SugarSMAC® Foundations education and potentially collaborate with the Company on additional educational opportunities.

1. THE ENDORSED EDUCATOR PROGRAM

The SugarSMAC® Endorsed Educator Program supports qualified sugaring professionals who independently provide hands-on education while using SugarSMAC Education's approved curriculum, learning resources and training system.

GROW membership provides enhanced opportunities for educators who wish to expand their educational offerings and may include opportunities to collaborate with the SugarSMAC Education Hub.

Participation does not make the Educator an employee, agent, franchisee, partner or legal representative of the Company.

The Educator operates an independent business and remains responsible for their own operations and education services.

2. APPROVAL AND VALIDATION

Enrollment in GROW does not automatically grant SugarSMAC® Endorsed Educator status.

Before publicly representing themselves as a SugarSMAC® Endorsed Educator or delivering approved SugarSMAC® Foundations training, the Educator must successfully complete all onboarding and validation requirements established by the Company.

These may include:

• Completion or review of the current SugarSMAC® Foundations Course
• Submission of requested credentials
• Demonstration of practical sugaring technique
• Participation in a validation session
• Demonstration of appropriate teaching ability and professional conduct
• Completion of corrective or developmental work reasonably requested by the Company

The Company retains sole discretion to determine whether the Educator meets its standards for endorsement.

If validation is not approved, the Educator may cancel their membership in accordance with applicable subscription terms or continue their subscription while working toward approval with feedback from the Company.

3. FOUNDATIONS COURSE ACCESS AND SETUP FEE

A one-time setup fee of $299 CAD applies unless waived by the Company.

The fee includes access to the SugarSMAC® Foundations Course so the Educator can review the curriculum their students will be learning and remain current with SugarSMAC® methods and standards.

The fee may be waived for Educators who have already completed the applicable Foundations Course.

Payment does not guarantee validation or endorsement.

4. SCOPE OF ENDORSEMENT

Following successful validation and approval, the Educator receives a limited, non-exclusive, non-transferable and revocable authorization to:

• Identify themselves as a SugarSMAC® Endorsed Educator while in good standing
• Provide approved hands-on SugarSMAC® Foundations education
• Use approved SugarSMAC® educator resources for their intended purposes
• Direct eligible students through the SugarSMAC Education learning system
• Use Company-provided Endorsed Educator logos, badges and approved marketing assets
• Participate in GROW-specific opportunities made available by the Company

Authorization applies only to the Educator named in this Agreement and may not be transferred or extended to another individual or business without written approval.

5. FOUNDATIONS STUDENT TRAINING

The Educator agrees to follow the current SugarSMAC® Foundations training and certification process.

Where applicable, this may include:

1. The student purchasing the designated Professional Foundations Kit or course access

2. Enrollment by the Company in the online Foundations learning platform

3. Completion of required theory, learning units and examinations

4. Hands-on instruction and/or practical evaluation by the Educator

5. Accurate reporting of assessment and completion information by the Educator

6. Issuance of official certification by the Company after all requirements are satisfied

The Educator may not independently issue, duplicate or alter SugarSMAC® certificates unless specifically authorized.

The Company may reasonably update curriculum, student requirements, assessments, kits, procedures and certification standards.

6. EDUCATOR RESPONSIBILITIES

The Educator agrees to:

• Maintain appropriate professional competency
• Follow current SugarSMAC® methods and standards when providing SugarSMAC® education
• Provide accurate information to students
• Maintain a safe, sanitary and professional training environment
• Follow appropriate infection prevention and workplace safety practices
• Comply with laws, regulations and professional requirements applicable to their jurisdiction
• Obtain appropriate business licences, insurance, waivers and permissions
• Maintain appropriate student and training records
• Accurately represent their qualifications
• Assess student competency honestly
• Protect student and model safety and privacy
• Promptly disclose serious complaints, incidents or circumstances that could reasonably affect their endorsement or the reputation of the program

USE OF SUGARSMAC® PRODUCTS IN ENDORSED TRAINING

When delivering SugarSMAC® Foundations training or any other education represented as approved, endorsed or provided in association with SugarSMAC®, the Educator agrees to use SugarSMAC® sugaring products and applicable SugarSMAC® pre- and post-care products throughout the training.

The Educator may not promote, sell, distribute or actively market competing sugaring products or competing professional sugaring brands during SugarSMAC®-endorsed training, including through course materials, demonstrations or student kits.

The Company recognizes that Educators operate independent businesses and may choose to use, carry, recommend or sell other professional brands outside of SugarSMAC®-endorsed education. These restrictions apply specifically when the Educator is teaching or representing SugarSMAC® education.

Compliance with these product and training standards is a condition of maintaining SugarSMAC® Endorsed Educator status.

7. INDEPENDENT BUSINESS RELATIONSHIP

The Educator is an independent business operator.

Unless expressly agreed otherwise in writing, the Educator remains responsible for:

• Business expenses
• Facilities
• Scheduling
• Employees and contractors
• Taxes
• Licences and permits
• Insurance
• Student communications
• Independently collected fees
• Refunds and cancellations for independently sold services
• Models
• Workplace safety
• Claims relating to services delivered by the Educator

Nothing in this Agreement creates an employment, partnership, joint venture, franchise or agency relationship.

The Educator has no authority to enter into contracts or incur obligations on behalf of the Company.

8. PROFESSIONAL LIABILITY AND INSURANCE

The Educator acknowledges that practical sugaring education can involve risks including skin reactions, injury and other adverse outcomes.

The Educator assumes responsibility for the hands-on education and services personally provided by them.

The Educator is required to maintain insurance reasonably appropriate to their activities, including professional liability and/or commercial general liability coverage where applicable.

Evidence of coverage must be supplied upon request.

The Company may establish reasonable minimum insurance requirements for continued endorsement.

9. INDEMNIFICATION

To the fullest extent permitted by law, the Educator agrees to indemnify and hold harmless the Company, SugarSMAC®, and their respective owners, directors, officers, employees, contractors and representatives from claims, damages, losses, liabilities, expenses and reasonable legal costs arising from or relating to:

• Education or services delivered by the Educator
• Injury or damage occurring at premises or events controlled by the Educator
• The Educator's employees or contractors
• Failure to comply with applicable laws or professional requirements
• Independent promises or representations made by the Educator
• Negligence or misconduct by the Educator
• Breach of this Agreement
• Unauthorized use of SugarSMAC® intellectual property

Nothing excludes liability that cannot legally be excluded.

10. SUGARSMAC® INTELLECTUAL PROPERTY

All SugarSMAC® course materials, manuals, videos, photography, diagrams, worksheets, presentations, assessments, written materials, templates, logos, graphics, branding and proprietary educational resources supplied by the Company remain the property of the Company and/or their respective rights holders.

The Educator receives only the limited permission necessary to use approved materials within the program.

Without written permission, the Educator may not:

• Reproduce materials for unauthorized distribution
• Resell educational resources
• Upload Company materials to another learning platform
• Share educator-only resources publicly
• Share login credentials
• Substantially reproduce SugarSMAC® curriculum in a competing program
• Remove ownership notices
• Represent independently developed content as official SugarSMAC® material
• Permit another person to use protected SugarSMAC® resources

11. USE OF SUGARSMAC® BRANDING

While active and in good standing, the Educator may use approved SugarSMAC® Endorsed Educator branding according to current brand guidelines.

The Educator must not imply that:

• They are an employee or owner of the Company
• Their business is owned by SugarSMAC®
• SugarSMAC® supervises every service they provide
• SugarSMAC® guarantees their business, education or student outcomes
• Independently developed education is an official SugarSMAC® course unless the Company has specifically approved it

The Company may require misleading, outdated, inappropriate or unauthorized branding to be modified or removed.

GROW-SPECIFIC TERMS

12. ADVANCED EDUCATION OPPORTUNITIES

GROW Educators may be considered for opportunities to offer additional advanced in-person or online education through the SugarSMAC Education Hub.

GROW membership does not automatically entitle the Educator to publish, sell or deliver an advanced course through the SugarSMAC Education Hub.

Each advanced course or educational offering requires separate approval by the Company.

Course setup, platform integration, pricing arrangements, contracts, revenue sharing, referral fees, payment processing, intellectual property ownership and other commercial terms will be determined on a case-by-case basis and documented separately where applicable.

13. INDEPENDENT COURSES VS. OFFICIAL SUGARSMAC® COURSES

The Educator remains free to operate independent educational offerings, subject to this Agreement's confidentiality and intellectual property provisions.

However, an independently created course may not be marketed as:

• A SugarSMAC® course
• SugarSMAC® certification
• SugarSMAC® approved
• SugarSMAC® endorsed
• Part of the SugarSMAC Education Hub
• Otherwise officially associated with SugarSMAC®

Written approval must be provided for the specific course or offering before any such representation is made.

Being personally endorsed as a SugarSMAC® Educator does not automatically endorse every course, technique, product recommendation or service offered by the Educator.

14. EDUCATION HUB COURSE APPROVAL

Before an advanced course is offered through the SugarSMAC Education Hub, the Company may review:

• Curriculum
• Learning outcomes
• Course structure
• Instructional materials
• Practical techniques
• Student prerequisites
• Assessments
• Safety information
• Instructor qualifications
• Marketing claims
• Pricing
• Overall alignment with SugarSMAC® educational and brand standards

The Company may approve, request revisions to, decline or discontinue a proposed course at its reasonable discretion.

No course should be publicly represented as an Education Hub offering until approval and any required separate agreement have been completed.

15. ADVANCED COURSE INTELLECTUAL PROPERTY

Ownership and permitted use of intellectual property relating to an advanced course will be determined in the separate agreement applicable to that course.

Unless otherwise agreed in writing:

• Pre-existing SugarSMAC® materials remain the property of the Company
• Pre-existing original materials created independently by the Educator remain the Educator's property
• Neither party receives ownership of the other party's pre-existing intellectual property merely through collaboration
• Jointly developed materials or materials commissioned specifically for the Education Hub must have their ownership and usage rights established in writing before publication

16. EDUCATION HUB REVENUE AND REFERRAL FEES

GROW membership itself does not establish a fixed revenue share, referral fee or compensation arrangement for advanced education.

Any applicable course setup fees, platform fees, referral commissions, revenue splits, processing fees or other compensation will be established for the applicable offering and agreed to separately.

The Educator has no entitlement to revenue from an Education Hub offering unless such entitlement has been expressly established.

GENERAL PROGRAM TERMS

17. QUALITY CONTROL AND CONTINUING STANDARDS

SugarSMAC® endorsement represents an ongoing standard rather than permanent accreditation.

The Company may periodically require reasonable quality-control measures including:

• Updated credentials
• Curriculum updates
• Refresher education
• Technique review
• Student feedback
• Revalidation
• Other reasonable professional-development requirements

The Company may investigate credible complaints and the Educator agrees to reasonably cooperate.

18. STUDENT ASSESSMENT AND CERTIFICATION

Students must be assessed honestly.

Payment for training does not guarantee certification.

Where practical competency is required, the Educator must only recommend a student for certification when they reasonably believe that the applicable standard has been demonstrated.

The Company retains final authority over credentials issued under the SugarSMAC® Education name.

Neither the Company nor the Educator may guarantee that completion will result in employment, income, licensing eligibility or specific business outcomes unless such a representation is factually and legally supported.

19. CONFIDENTIALITY

The Educator may receive non-public information including educator materials, internal processes, future program plans, pricing arrangements, Education Hub plans and proprietary business information.

The Educator agrees to maintain the confidentiality of such information and use it only for authorized program purposes.

This obligation survives termination.

20. MEMBERSHIP FEES AND BENEFITS

The Educator is responsible for membership fees applicable to the GROW plan.

Membership provides access to benefits associated with the active plan but does not guarantee specific business opportunities, advanced course approvals, referrals or revenue.

Program features may evolve over time. The Company may reasonably update program benefits, systems and procedures and will communicate material changes affecting active Educators.

21. NO GUARANTEE OF OPPORTUNITIES OR REVENUE

The Company does not guarantee the Educator:

• Any minimum number of students
• Student referrals
• Leads
• Bookings
• Course sales
• Education Hub placement
• Approval of an advanced course
• Speaking or teaching opportunities
• Revenue
• Other commercial results

Opportunities may depend on demand, geography, student needs, performance, availability, program strategy and other factors.

22. TERMINATION BY THE EDUCATOR

The Educator may cancel GROW membership in accordance with the cancellation terms applicable to their subscription.

Once endorsement ends, the Educator must:

• Stop representing themselves as a current SugarSMAC® Endorsed Educator
• Remove Endorsed Educator badges and restricted branding
• Stop using educator-only resources
• Return or permanently delete confidential materials when requested

Previously issued legitimate student certifications remain valid.

Termination of GROW membership does not automatically determine ownership or continuing obligations associated with a separately contracted Education Hub course. Those matters will be governed by the applicable course agreement.

23. SUSPENSION OR TERMINATION BY THE COMPANY

The Company may suspend or terminate endorsement where it reasonably believes the Educator:

• No longer meets program standards
• Materially breaches this Agreement
• Fails to comply with SugarSMAC® product-use requirements or promotes, sells or distributes competing sugaring products during SugarSMAC®-endorsed training
• Misuses intellectual property
• Provides unsafe or materially deficient education
• Falsifies assessments or credentials
• Misrepresents their relationship with SugarSMAC®
• Engages in unlawful, fraudulent or seriously unprofessional conduct relevant to their educator role
• Fails to maintain required qualifications or insurance
• Fails to pay applicable membership fees
• Engages in conduct reasonably likely to materially harm students, the Company or the SugarSMAC® brand

Where appropriate, the Company may provide an opportunity for remediation.

Immediate suspension may occur where reasonably necessary to protect students, the public, the Company or the SugarSMAC® brand.

24. EFFECT OF TERMINATION ON EDUCATION HUB CONTENT

Termination of endorsement does not automatically terminate a separately executed Education Hub course agreement.

Any ongoing course hosting, student access, revenue obligations, intellectual property rights or removal of course content will be handled according to the applicable course agreement.

If no separate agreement exists, the parties will cease new promotion and sale of the affected collaborative course until the rights and obligations relating to that course have been resolved in writing.

25. LIMITATION OF COMPANY RESPONSIBILITY

Endorsement reflects the Company's assessment that the Educator has met applicable program standards.

It does not constitute continuous supervision of the Educator.

To the fullest extent permitted by law, the Company is not responsible for the Educator's independent business operations, acts or omissions, facilities, employees, contractors, representations, financial performance, student disputes or services delivered outside the Company's direct control.

26. SURVIVAL

Provisions relating to intellectual property, confidentiality, indemnification, payment obligations and limitations of liability that by their nature should continue will survive termination.

Separate Education Hub agreements may contain additional continuing obligations.

27. CHANGES TO PROGRAM STANDARDS

The Company may update reasonable operational, curriculum, branding and quality standards from time to time.

Material changes to the contractual relationship itself will be communicated and handled in accordance with applicable law.

28. GOVERNING LAW

This Agreement is governed by the laws of the Province of Manitoba and applicable federal laws of Canada.

The parties agree that disputes relating to this Agreement will be subject to the courts of Manitoba unless another dispute-resolution process is mutually agreed upon.

29. ENTIRE AGREEMENT

This Agreement, together with any incorporated policies, schedules and separate Education Hub agreements expressly referenced herein, constitutes the agreement concerning the Educator's participation in the SugarSMAC® Endorsed Educator Program.

If any provision is found unenforceable, the remaining provisions will continue in effect.

30. ELECTRONIC ACCEPTANCE

This Agreement may be executed electronically.

Electronic acceptance through an online enrollment or signature system, where legally valid, has the same effect as a handwritten signature.

ACCEPTANCE

By accepting this Agreement, the Educator confirms that they have read, understood and agree to its terms.
